What is ROC?

Registrar of Companies or ROC is basically an office under the Corporate Affairs Ministry which lays its focus on dealing with the administration of Companies Act 2013. The primary duty of ROC is to register companies and LLPs and see if it operates under the section 609 compliance for each states and Union Territories.  There are about 22 ROC offices located all over India where you would find records of registered companies and one can get the details of the same by paying for it. The Regional Directors on behalf of the Government administers the ROC.

What are the functions of ROC?

• The registration of the company or the incorporation of the company to be government approved is done under ROC.
• The ROC helps in fostering and facilitating the culture of the business
• Any company, in order to come into existence needs to be registered under the ROC. The certificate provided by ROC depicts the existence of the company and it cannot cease o operate unless it is strike off from the ROC list.
• As per the ROC Compliance, it can ask for any company’s supplementary information. With the prior approval of court, it can even search a company’s premises and seize the accounts book.  They can even file a petition to cease a company.

What are the requirements?

After satisfying all the statutory requirements, ROC issues an incorporation certificate once they get all the needed documents from the promoters. Some of the required documents so as to satisfy the ROC Compliance would include:

• Memorandum of Association
• Articles of Association
• The pre-incorporation agreement in order to appoint Managing Directors
• Declaration of an authorized person who would confirm the requirements of registration has been adhered.

Once the documents satisfy the ROC Compliance, they issue an incorporation certificate by including the company’s name in the registered list. The ROC can also deny registration on different grounds like objectionable name or unlawful objective.
